Terms and Conditions for Certification Workshops

§ 1 Scope and Contracting Parties

(1) These Terms and Conditions of Goodsmith GmbH, Robert-Koch-Straße 1, Haus 1, 82152 Planegg (hereinafter "Goodsmith") apply to all contracts for participation in Goodsmith certification workshops (hereinafter "Workshops") concluded between customers (hereinafter "Participants") and Goodsmith.

(2) The certification workshops are directed exclusively at commercially active specialist professionals (farriers, hoof trimmers, hoof care practitioners, hoof orthopaedists, specialist persons working therapeutically with horses). Bookings are made exclusively in a commercial context within the meaning of § 14 BGB.

(3) These Terms and Conditions constitute an independent set of contractual provisions and exist independently alongside the General Terms and Conditions for online retail sales of Goodsmith GmbH. They are expressly incorporated into each Workshop booking.

(4) Deviating terms and conditions of Participants shall apply only upon express written acknowledgement by Goodsmith.

§ 2 Subject Matter of the Contract

(1) The subject matter of the contract is the paid participation in a certification workshop in the booked format (adhesive shoeing or hoof boot) at the booked location and on the booked date. The Workshop comprises a full-day competency programme with a theoretical and a practical component, including application on a live horse under the direct guidance of an authorised workshop leader.

(2) The Workshop services further include the accompanying materials provided before and after the event (participant folder, access to the Partner Dashboard), the Handshake Certificate on the day of the Workshop, the subsequent photo examination, the postal dispatch of the officially styled certificate, and the shop credit in accordance with § 11.

(3) The Workshop is a service and not a delivery of goods.

§ 3 Conditions for Participation

(1) A prerequisite for participation is proof of a current business registration or registration as a freelancer pursuant to § 18 EStG. Proof must be uploaded to the Partner Dashboard within seven (7) days of conclusion of the contract.

(2) If proof is not provided within the period stipulated in paragraph 1, Goodsmith is entitled to withdraw from the contract. Any amounts already paid will be refunded in full; Participants shall have no further claims in such a case.

(3) Participants must be of legal age at the time of booking.

(4) By making a booking, Participants declare that they hold valid professional indemnity insurance in connection with their commercial activities. Goodsmith may request evidence thereof.

§ 4 Conclusion of Contract and Booking

(1) Booking is made online via the Goodsmith Partner Dashboard. Participants select the format, location and date, enter their contact and billing details, and complete the booking by clicking the button "Zahlungspflichtig buchen".

(2) By clicking the button referred to in paragraph 1, Participants submit a binding offer to conclude a participation contract.

(3) The contract is concluded upon receipt of the booking confirmation sent by Goodsmith via e-mail. The booking confirmation contains the material contractual data as well as these Terms and Conditions available for download.

(4) Prior to submitting the booking, Participants may view and correct their entries at any time.

§ 5 Prices and Payment

(1) The price for participation in a certification workshop is EUR 290.00 gross per person, including statutory value added tax.

(2) The price is due upon receipt of the booking confirmation. Payment is made via one of the payment service providers offered in the Partner Dashboard.

(3) Travel costs, accommodation costs and individual catering requests outside of the catering standard provided by Goodsmith are not included in the price and shall be borne by the participants themselves.

(4) Included in the price are: workshop participation, all course materials and consumables for practical use, a hot lunch as well as all-day snacks and beverages in accordance with the catering standard, a participant folder, a Handshake and Postal certificate, and the shop credit pursuant to § 11.

§ 6 Minimum Occupancy and Cancellation by Goodsmith

(1) Goodsmith shall conduct a workshop only if a minimum number of three (3) persons are registered. If this number is not reached, Goodsmith is entitled to cancel the workshop no later than 14 calendar days before the scheduled date.

(2) Goodsmith is further entitled to cancel the workshop if its execution is not possible due to force majeure (in particular natural events, acts of public authority, illness of the workshop management without the possibility of substitution).

(3) In the event of cancellation by Goodsmith pursuant to paragraph 1 or 2, participants shall receive:

• a full refund of the participation fee paid within 14 calendar days,
• an offer to rebook to an alternative date at the same or a different location,
• a goodwill shop credit in the amount of EUR 20.00 (conditions pursuant to § 11 paragraph 3).

(4) Further claims by participants arising from the cancellation are excluded, unless Goodsmith has acted with intent or gross negligence.

§ 7 Cancellation and Rebooking by Participants

(1) Participants may cancel the contract free of charge without stating reasons by written declaration to Goodsmith (e-mail is sufficient) no later than 21 calendar days before the booked workshop date. The participation fee paid shall in this case be refunded in full.

(2) In the event of cancellation between 20 and 14 calendar days before the date, 50% of the participation fee shall be retained as a processing flat fee.

(3) In the event of cancellation 13 calendar days or fewer before the date or non-appearance on the workshop day (no-show), there is no entitlement to a refund.

(4) A rebooking to a different date is possible free of charge up to no later than 14 calendar days before the originally booked date, provided that places are available at the desired alternative date.

(5) In the event of inability to attend due to serious circumstances beyond the participant's own control (in particular illness evidenced by a medical certificate), Goodsmith shall examine a goodwill rebooking on a case-by-case basis.

§ 8 Right of Withdrawal

(1) Since the certification workshops are directed exclusively at commercial specialist experts within the meaning of § 14 BGB, a statutory right of withdrawal pursuant to the provisions of §§ 312 ff. BGB does not in principle exist.

(2) Should a contract with a consumer within the meaning of § 13 BGB be concluded exceptionally in an individual case, it is noted that the right of withdrawal does not exist for contracts for the provision of services in connection with leisure activities that provide for a specific date or period for their provision, pursuant to § 312g paragraph 2 number 9 BGB.

§ 9 Course of the Workshop and Duties to Cooperate

(1) The workshop takes place at the location stated in the booking confirmation. Participants shall arrive punctually at the communicated start time.

(2) A safety briefing is conducted at the beginning of the workshop. By participating in the workshop and working with the horse, participants confirm that they have taken note of the safety briefing and will comply with the rules discussed therein.

(3) Work on the live horse is carried out exclusively under the direct accompaniment and supervision of the workshop instructor. Instructions issued by the workshop instructor are to be followed as binding, for the protection of humans and animals alike.

(4) Participants bring their own professional tools customary to the trade. Anyone who does not have their own tools must notify Goodsmith of this at the time of booking; in such a case, Goodsmith will provide a complete set of tools on loan.

(5) Participants shall appear in appropriate, weatherproof work clothing. A breach of reasonable safety requirements (including, inter alia, safety goggles when grinding) entitles the workshop instructor to exclude the participant concerned from individual practical modules.

§ 10 Certificate and Verification

(1) Upon successful completion of the workshop, participants receive a Handshake Certificate on the day of the workshop as immediate confirmation of attendance, and subsequently, following an internal quality review of the photographic documentation, the official-looking Postal Certificate.

(2) The certificate attests to the successfully completed practical examination conducted within the framework of the workshop at the time of its issuance. It is valid for an unlimited period of time.

(3) The certificate establishes no warranty or liability relationship between Goodsmith and the end clients of the certified person. The certified person is solely and independently liable towards their end clients, irrespective of the certification; the individual professional indemnity insurance pursuant to § 3 paragraph 4 is designated for this purpose.

(4) Listing on Goodsmith's public DACH partner map is tied to the current Partner Health Status and requires completion of an annual, free-of-charge online update module. If the update module is not completed despite a reminder, the certified person will be deactivated on the map; the certificate as such remains unaffected thereby.

(5) Verification of the certificate is carried out via a public verification page on goodsmith.de, by entering the certificate number indicated on the certificate. The data published thereon is limited to the certificate number, first name and the first letter of the surname, workshop format, and date of issuance. (6) The passing on of the specialist knowledge acquired in the workshop to colleagues or within the framework of one's own training courses is permissible, but does not establish Goodsmith certification status for third parties. The promotion of third-party training courses under the Goodsmith brand is prohibited without the express written consent of Goodsmith.

(7) In the event of misuse of the brand (in particular, forged certificate numbers, promotion of work not conforming to Goodsmith standards under the certificate, or continued use by third parties), Goodsmith reserves the right to invalidate the certificate number in the verification database.

§ 11 Shop Credit upon Successful Workshop Completion

(1) Upon successful completion of the workshop (attendance, active participation, photo documentation complete), participants shall receive a personal shop credit in the amount of 150.00 euros. The shop credit shall be automatically credited to the partner account.

(2) The following conditions apply to the shop credit pursuant to paragraph 1:

• Validity: 30 calendar days from the date of issue,
• no minimum order value,
• redemption exclusively in the Goodsmith online shop,
• personal and non-transferable to third parties,
• no cash payment, no interest,
• redeemable in partial amounts across multiple orders within the 30-day validity period,
• no residual value upon expiry of the validity period.

(3) If a workshop is cancelled by Goodsmith pursuant to § 6, the affected participants shall receive, in addition to the refund, a goodwill shop credit in the amount of 20.00 euros. The conditions set out in paragraph 2 shall apply accordingly to this shop credit.

(4) In the event of revocation or return of an order paid for in whole or in part with the shop credit, the redeemed credit portion shall not be refunded in cash.

§ 12 Professional Liability Insurance and Limitation of Liability towards End Customers

(1) Participants declare, pursuant to § 3 paragraph 4, that they hold their own professional liability insurance and that they shall maintain such insurance for the duration of their commercial activity.

(2) If participants cause damage to one of their own end customers in the course of their own subsequent commercial activity, liability shall rest exclusively with the participants themselves. Goodsmith assumes no liability and no warranty obligations towards such end customers.

(3) If a horse causes personal injury or property damage during the workshop, the animal keeper's liability insurance of the respective horse keeper shall apply as the primary recourse.

§ 13 Liability of Goodsmith

(1) Goodsmith shall be liable without limitation for damages arising from injury to life, body or health that are based on a negligent breach of duty by Goodsmith or on an intentional or negligent breach of duty by a statutory representative or vicarious agent of Goodsmith — in particular the workshop management. Goodsmith shall likewise be liable for other damages that are based on a grossly negligent breach of duty by Goodsmith or on an intentional or grossly negligent breach of duty by a statutory representative or vicarious agent of Goodsmith.

(2) For property damage and financial losses caused by simple negligence, Goodsmith shall only be liable in the event of a breach of a material contractual obligation (cardinal obligation) and limited to the foreseeable, typical damage at the time of conclusion of the contract.

(3) In all other respects, the liability of Goodsmith shall be excluded.

(4) The limitations of liability set out in paragraphs 2 and 3 shall not apply to claims under the Produkthaftungsgesetz.

§ 14 Photo Documentation and Image Rights

(1) A photo documentation of the participants' work results on the demonstration hoof and on the horse, taken by the workshop management, forms part of the certification. These photographs serve exclusively the purposes of internal quality assurance and the issuance of the certificate.

(2) By participating in the workshop, participants consent to this photo documentation of the work results. Only the work results (hooves, shoeing, application) shall be photographed — portrait or full-body photographs shall only be taken with express separate consent.

(3) Any use of the photo documentation for marketing, advertising or public presentation purposes outside the verification process shall only take place with the express separate consent of the participants.

§ 15 Relationship to the Framework Agreement for Workshop Leaders

These Terms of Participation apply exclusively to participants. Legal relationships between Goodsmith and workshop leaders are governed by the Framework Agreement for Workshop Leaders and are not the subject of these Terms of Participation.

§ 16 Applicable Law, Place of Jurisdiction, Dispute Resolution

(1) The law of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods, shall apply to all legal relationships between Goodsmith and the participants.

(2) The exclusive place of jurisdiction for all disputes arising from this agreement shall be the registered seat of Goodsmith, provided that the participants are merchants, legal persons under public law, or special funds under public law. Goodsmith is entitled to also bring an action at the general place of jurisdiction of the participants.

(3) The European Commission provides a platform for out-of-court online dispute resolution at https://ec.europa.eu/consumers/odr. Goodsmith is neither obligated nor willing to participate in dispute resolution proceedings before a consumer arbitration board.

§ 17 Amendments to the Terms of Participation and Final Provisions

(1) Goodsmith may amend these Terms of Participation to the extent that this is required for regulatory, legal, or operational reasons. The versions in force at the time of conclusion of the contract shall apply to contracts already concluded.

(2) Should individual provisions of these Terms of Participation be or become invalid or unenforceable, the validity of the remaining provisions shall remain unaffected. The invalid or unenforceable provision shall be replaced by a valid provision that most closely approximates the economic purpose of the original provision.
